1. Acceptance of Terms and Eligibility
1.1 Agreement to Terms
Your use of the Service in any form constitutes acceptance of these Terms and any policies incorporated by reference, including our Privacy Policy. If you are using the Service on behalf of a business or other entity (for example, through a Business/Workspace account), you represent that you have authority to bind that entity, and "you" refers to that entity as well as you individually.
1.2 Eligibility
To use the Service, you represent and warrant that you:
- Are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is greater;
- Have the legal capacity and authority to enter into these Terms;
- Are not a person or entity barred from using the Service under the laws of any applicable jurisdiction; and
- Will use the Service only for lawful purposes consistent with these Terms.
1.3 Restricted Jurisdictions
The Service is not offered to residents of, or persons located in, the following jurisdictions: [LIST OF RESTRICTED/EXCLUDED JURISDICTIONS]. We may modify this list at any time without prior notice to reflect changes in law or our risk assessment. You represent that you are not located in, incorporated in, or a resident of any such restricted jurisdiction.
1.4 Sanctions and Screening
You represent that you are not (a) named on any list of sanctioned or restricted parties maintained by the United States, United Nations, European Union, or any other applicable governmental authority, or (b) owned or controlled by, or acting on behalf of, any such person. We may screen users and transactions against sanctions and watchlists and may deny, freeze, or reverse access to the Service as required by applicable law.
2. Description of the Service
2.1 Overview
NHBCoin operates a Layer 1 blockchain ("nhbchain") purpose-built for payments, together with nhbportal, a wallet and payments application that lets you hold, send, receive, and use digital assets on that network, and access the additional features described in Section 4.
2.2 The Dual-Token Model
nhbchain uses two distinct digital assets:
2.2.1 NHB.
NHB is the network's everyday commerce and settlement currency. It is designed to be backed 1:1 by custodied reserves and is intended for use as a stable medium of exchange for payments, transfers, and merchant transactions - not as a speculative investment asset. Nothing in these Terms should be read as a guarantee of any specific reserve ratio, insurance status, or redemption right; see Section 7 (Risk Disclosures).
2.2.2 ZNHB.
ZNHB is a fixed-supply network asset, capped at 1,000,008,000 total units that will never be further minted. ZNHB is used for staking, validator rewards, and network security, and is made available through an on-chain bonding curve, with an associated treasury buyback mechanism. ZNHB pricing can be volatile; see Section 7.
2.3 Protocol-Level Features
nhbchain provides certain features directly at the protocol level, including native account abstraction (smart-wallet-style transaction logic without a separate smart contract deployment), on-chain identity and usernames, and fee sponsorship (allowing certain transactions to be subsidized). These are network features, not contractual guarantees of specific behavior, and may be modified through network upgrades.
2.4 Not Investment Advice
Nothing in the Service constitutes financial, investment, legal, or tax advice. Descriptions of NHB, ZNHB, staking, lending, or any other feature are informational only. You are solely responsible for evaluating whether any use of the Service is appropriate for you.
3. Your Wallet, Private Keys, and Our Custody Practices
This section describes, precisely, how your wallet's private keys are protected and who is able to access them. Please read it carefully.
3.1 How Wallets Are Created and Secured
When you create a personal wallet through the Service, a private key is generated for you. That private key is encrypted, and the encrypted (ciphertext) form is stored both locally in your browser and on our servers.
3.2 The PIN Layer (Personal Wallets Only)
For personal wallets, you set a PIN. Your PIN is used, entirely on your own device, to derive an encryption key that produces a PIN-protected, encrypted copy of your private key. Your PIN itself is never transmitted to or stored by us. This PIN-protected copy is used to unlock your wallet for everyday signing directly in your browser session.
3.3 Important Disclosure: NHBCoin Retains an Independent Ability to Decrypt Your Private Key
This is the single most important fact in this section, and you should not assume otherwise: NHBCoin is not a purely non-custodial or "we can never access your funds" service. In addition to the PIN-protected copy described in Section 3.2, your private key (in plaintext form, at the time it is generated) is also encrypted using keys that we control and stored on our servers. This server-side encryption does not depend on, and is not gated by, your PIN.
As a result:
- Our systems have an independent, always-available technical capability to decrypt your private key. This capability does not require your PIN, a seed phrase, or any secret that only you hold.
- Instead, access to this decryption capability is gated by account-security checks that we control - for example, a verified login session combined with a recent email one-time-passcode (OTP) verification, a valid password/PIN-reset token, and, if you have enabled it, a time-based one-time passcode (TOTP/authenticator) check.
- This is not a rare fallback: whenever your wallet is not already unlocked in your current browser session (for example, after you reload the page or open the app on a new device), the Service routinely uses this server-side decryption path to sign transactions on your behalf.
- Because this capability exists, personnel or systems within NHBCoin, and anyone who successfully compromises the applicable account-security checks (for example, by gaining access to your registered email inbox together with an active login session), may be able to cause your private key to be decrypted, without your PIN and without your independent consent at the moment of decryption.
We do not claim, and you should not assume, that NHBCoin is "non-custodial," that "only you can access your wallet," or that "NHBCoin can never access your funds." These statements would not accurately describe how the Service works, and no other part of the Service, our marketing, or any communication from us should be read to override this Section 3.3.
3.4 Business and Workspace Wallets Are Fully Company-Held
If you use a Business or Workspace account (for example, through Become a Merchant, Point of Sale, Bulk Payouts, or Business Swap), your business wallet's private key is encrypted and held by us using our own server-controlled keys only. There is no PIN-protected or user-held copy of a business wallet's private key at all. Every business-wallet transaction is signed using the plaintext key retrieved from our servers at the time of signing. Access is gated by the account-security checks described above, applied to your business account's authorized users, and not by any secret exclusively held by you or your business.
3.5 Account Recovery ("Forgot PIN")
If you forget your PIN, our recovery process works as follows: you request a one-time passcode sent to your registered email address, verify that code, and receive a short-lived reset token. Using that token, the Service retrieves your plaintext private key by decrypting it server-side (using the same company-held decryption capability described in Section 3.3), and then re-encrypts it under your new PIN.
There is no seed-phrase-based recovery and no recovery mechanism that depends solely on a secret only you hold. Anyone who can successfully complete this email-verification flow on your account - including you, or an unauthorized person who has gained control of your registered email inbox and an active session - can cause your plaintext private key to be produced by our servers.
3.6 Your Responsibilities
Because of the architecture described above, protecting your account depends heavily on protecting your login credentials, registered email account, and (if enabled) authenticator app - not only your PIN. You are solely responsible for:
- Keeping your login credentials, registered email account, and device confidential and secure;
- Enabling and safeguarding additional security features we offer, such as TOTP/authenticator-based transaction approval;
- Promptly notifying us of any suspected unauthorized access to your account; and
- Understanding that, unlike wallets where only you hold the decryption secret, recovery and support actions on your account may be performed by us using our own systems, subject to our internal access controls and policies.
3.7 Security Measures We Maintain
We maintain technical controls intended to protect the confidentiality of stored key material, including encryption at rest, access-control gating on decryption operations, and internal monitoring/self-test mechanisms. These measures reduce, but do not eliminate, the risks described in this Section 3 and in Section 7 (Risk Disclosures). No security system is perfect, and no statement in this Section 3.7 qualifies or narrows the disclosures in Sections 3.3-3.5.
4. Features and Services
The Service may include some or all of the following features, which may be added, modified, or removed at any time.
4.1 Sending, Receiving, and Balances
Core wallet functionality for viewing NHB and ZNHB balances and sending or receiving them to other addresses on nhbchain.
4.2 Payment Requests
Tools to generate shareable payment-request links that let others pay you a specified amount, and to redeem such links sent to you.
4.3 Buying and Swapping NHB/ZNHB
A swap feature that lets you acquire NHB or ZNHB using other crypto assets or fiat currency, and swap out of them, through an internal payments gateway that connects to a third-party payment processor. See Section 6.1 for important details about this third-party relationship, and Section 5.4 regarding fees.
4.4 Staking and Delegation
A staking feature that lets you bond (delegate) ZNHB to a validator to participate in network security and earn associated rewards. Delegated staking involves locking your ZNHB with a validator of your choosing; see Section 7.6 for staking- and slashing-related risks.
4.5 Running a Validator Node
Tools to register and operate your own validator on nhbchain. Operating a validator carries technical, financial, and security responsibilities that are yours alone, including infrastructure uptime, key management for your validator identity, and exposure to slashing or penalty conditions defined by the protocol.
4.6 Lending and Borrowing
Optional features (where enabled) that let you supply NHB to a lending pool to earn interest, or deposit ZNHB as collateral to borrow NHB. Interest rates are not fixed - they are determined algorithmically based on how much of the pool is currently borrowed versus supplied, and adjust automatically over time. The supply/earn side of this feature is currently available; the borrowing side is not currently enabled and will be announced separately if and when it becomes available. See Section 5.3 and Section 7.7.
4.7 Peer-to-Peer Escrow Marketplace
A marketplace feature where a buyer's payment is held in an on-chain escrow until released by the seller/lister, with either party able to raise a dispute. Disputed trades are reviewed and triaged by NHBCoin administrators. See Section 7.8 regarding escrow and counterparty risk.
4.8 Recurring Subscriptions and Billing
A subscriptions feature that lets merchants define a billing plan, and lets a customer authorize that plan with a single signed transaction. That one signature creates a bounded, standing authorization for a fixed, disclosed amount, which the network then automatically re-charges each billing interval without requiring a new signature from the customer. NHBCoin applies a separate management fee to these recurring charges; see Section 5.2. You may cancel a subscription through the Service, subject to the specific plan's terms as disclosed to you at sign-up.
4.9 Business and Merchant Tools
Business/Workspace accounts, created through our merchant onboarding flow, may access:
- 4.9.1 Point-of-Sale Acceptance - registering POS devices and accepting in-person payments (authorization, capture, and void flows).
- 4.9.2 Bulk/Batch Payouts - sending payments to many recipients in a single batch operation. This feature moves real funds via real, wallet-signed transactions; it is not a simulation.
- 4.9.3 Business Withdrawals - requesting a withdrawal of your business's NHB balance to a linked bank account, which is manually fulfilled by our treasury operations off-chain.
- 4.9.4 Loyalty and Rewards Programs - configuring a merchant-funded customer loyalty/rewards program.
- 4.9.5 Developer Tools - API keys, webhooks, and developer documentation for integrating your own systems with your business account.
4.10 Personal Rewards Program
Personal accounts may accrue loyalty/engagement rewards (paid in ZNHB) based on your activity on the Service, according to program terms that we may change at any time.
4.11 On-Chain Governance
A governance feature that lets eligible users submit proposals and vote on-chain regarding network parameters and other governable matters. Governance outcomes are determined by the protocol's voting rules and are not within NHBCoin's unilateral control once submitted on-chain.
4.12 Community Bug Reports
A public bug-tracking feature that lets users submit, view, comment on, and upvote reports of issues with the Service, protected by bot-detection technology. This is a reporting and triage tool only. It is not a monetary bug-bounty program, and submitting a report does not entitle you to any reward, payment, or compensation unless separately and explicitly agreed to by us in writing.
4.13 Public Information Tools
Publicly accessible tools including a chain explorer, validator directory, retailer directory, and related informational pages, which may be viewed without an account.
5. Fees
5.1 Network Transfer Fees
Transfers of NHB and ZNHB may be subject to network fees. Each wallet has a free-transfer allowance; once that allowance is used, a percentage-based fee applies to the transfer amount. The percentage fee differs between NHB and ZNHB and is configured at the network level; it may be different for merchant/point-of-sale transactions than for ordinary peer-to-peer transfers. These parameters can change and are not fixed by these Terms.
5.2 Subscription Management Fees
In addition to the plan price a merchant sets, NHBCoin applies its own management fee (expressed as a percentage of the charge) to each recurring subscription charge. This fee is charged on top of, not instead of, any applicable network transfer fee.
5.3 Lending and Borrowing Rates
Interest rates for supplying or borrowing through the lending feature are variable and determined by a formula based on pool utilization (how much of the pool is currently borrowed relative to what has been supplied). Your rate will change automatically as pool utilization changes, without further notice, unless otherwise stated.
5.4 Swap / Buy Fees
Buying or swapping assets through the Service involves two layered charges: (a) NHBCoin's own service fee, applied first, and (b) the underlying payment processor's own processing fee, applied on top. You, as the person initiating the swap, bear both fees. The processor's checkout page will display the final all-in amount before you confirm.
5.5 Current Rates Are Shown Live In-App
Because these figures are configurable and can change without a corresponding update to these Terms, we do not state specific percentages here. Before you confirm any transfer, swap, subscription charge, or borrowing/lending action, the Service will display the current, applicable fee, rate, or free-tier allowance remaining for that specific action. That live, in-app disclosure - not any number in this document or in our marketing materials - is the authoritative statement of current fees at the time of your transaction.
6. Third-Party Services
Certain features of the Service rely on third-party providers. Your use of these features may also be subject to that provider's own terms and privacy practices, which we encourage you to review.
6.1 Payment Processing
Buying, selling, or swapping assets for fiat or other cryptocurrencies is processed through an internal payments gateway that in turn relies on a third-party crypto/fiat payment processor. That processor - not NHBCoin - actually custodies swapped funds in transit and executes the on-chain send for swap-outs. Data shared with this pipeline includes the transaction amount, asset, and destination wallet address; if the processor's own checkout page collects additional payment details directly from you, that collection happens outside of NHBCoin's systems and is governed by that processor's own terms.
6.2 Email Delivery
We use a third-party transactional email provider to send account verification emails, password/PIN reset codes, and security and account notifications.
6.3 Push Notifications
We use Google Firebase Cloud Messaging to deliver push notifications (for example, transaction and account alerts) to your device.
6.4 Bot and Abuse Protection
We use Google reCAPTCHA Enterprise to help protect certain public-facing features, such as bug report submission, from automated abuse. Use of this feature shares your interaction token, IP address, and browser/user-agent information with Google.
6.5 Sign-In With Google
If you choose to sign in using Google, Google will process your authentication and share basic profile information with us as permitted by your Google account settings.
6.6 Hosting and Infrastructure
The Service, including its database of account and transaction information, runs on infrastructure that we operate and control.
6.7 No Endorsement
Our use of a third-party provider does not constitute an endorsement of that provider, and we are not responsible for the acts, omissions, availability, or security practices of any third-party provider.
7. Risk Disclosures
By using the Service, you acknowledge and accept the following risks, which are inherent to blockchain-based products and to the Service specifically:
7.1 Irreversibility
Transactions confirmed on nhbchain are generally irreversible. If you send funds to the wrong address, authorize an incorrect amount, or are the victim of a scam that induces you to authorize a transaction, we may be unable to recover or reverse those funds.
7.2 Price Volatility
The value of NHB, ZNHB, and any other digital asset accessible through the Service can fluctuate significantly and may lose some or all of its value. Past performance or design intent (such as NHB's intended 1:1 backing) is not a guarantee of future value or of the absence of a "de-peg" event.
7.3 No Deposit Insurance
Digital assets held through the Service are not insured by the FDIC, SIPC, or any other governmental or private deposit-insurance scheme, regardless of any resemblance between NHB and a fiat-referenced currency.
7.4 Smart Contract and Protocol Risk
nhbchain, its native modules (including staking, lending, escrow, and subscriptions), and any smart-contract-like logic they rely on may contain bugs, vulnerabilities, or unanticipated behavior. Network upgrades, consensus issues, or exploits could result in loss of funds, transaction failures, or other harm outside our control.
7.5 Custody and Centralization Risk
As described in detail in Section 3, NHBCoin's servers retain an independent technical ability to decrypt your private key (and, for business wallets, are the sole holder of the decryption capability). This creates a centralization and insider/compromise risk that would not exist in a purely non-custodial wallet: a compromise of our systems, our decryption secrets, your registered email account, or the account-security checks described in Section 3.3 could result in unauthorized access to or movement of your funds.
7.6 Staking and Validator Risk
Delegating ZNHB to a validator or running your own validator node exposes your ZNHB to lock-up periods, validator performance, and potential slashing or penalty conditions defined by the protocol. Choosing a validator to delegate to is your decision and your risk.
7.7 Lending and Borrowing Risk
Interest rates for supplying and borrowing are variable and can change automatically based on pool utilization. If and when the borrowing side of this feature is enabled, borrowing against collateral will expose you to liquidation or collateral-loss risk if the value of your collateral falls or your obligations are not maintained as required by the feature's terms - this risk disclosure will apply to you at that time.
7.8 Escrow and Counterparty Risk
The peer-to-peer escrow marketplace connects you with other users. We do not vet counterparties, verify the goods, services, or claims underlying a trade, or guarantee that a dispute will be resolved in your favor. Our role in dispute triage is administrative, not an adjudication with guaranteed outcomes.
7.9 Subscription Authorization Risk
Authorizing a recurring subscription creates a standing authorization for future charges up to the disclosed amount, without a new signature each time. You are responsible for reviewing subscription terms before authorizing them and for canceling subscriptions you no longer want charged.
7.10 Tax Responsibility
You are solely responsible for determining what, if any, taxes apply to your transactions on the Service and for reporting and remitting those taxes to the appropriate authority. We do not provide tax advice and are not responsible for determining your tax obligations.
7.11 Regulatory Risk
The regulatory status of digital assets and payment services like NHB, ZNHB, staking, and lending is uncertain and evolving in many jurisdictions. Future regulation could restrict, limit, or otherwise affect your ability to use the Service or the value of assets you hold through it.
8. Prohibited Uses
You agree not to use the Service to:
8.1 Illegal Activity
Engage in, promote, or facilitate any activity that violates applicable law.
8.2 Money Laundering and Terrorist Financing
Launder money, finance terrorism, or otherwise conceal or disguise the nature, source, location, ownership, or control of funds derived from illegal activity.
8.3 Sanctions Evasion
Evade, or attempt to evade, economic sanctions, or transact with any person, entity, or jurisdiction that is subject to applicable sanctions.
8.4 Market Manipulation and Fraud
Manipulate the price of NHB, ZNHB, or any other asset accessible through the Service; engage in wash trading, front-running, or similar manipulative conduct; or defraud any other user or NHBCoin.
8.5 Platform Abuse
Attempt to gain unauthorized access to the Service, another user's account, or our systems; interfere with or disrupt the integrity or performance of the Service; reverse-engineer non-public parts of the Service; use bots, scrapers, or automated means to abuse free-tier allowances, rewards programs, or the bug-report tracker; or submit false or misleading bug reports, disputes, or applications.
8.6 Business/Merchant-Specific Prohibited Uses
If you operate a Business/Workspace account, you additionally agree not to use point-of-sale, bulk payout, subscription billing, or loyalty features to process payments for prohibited goods or services, to disguise the true nature of a transaction, or to circumvent the fee or verification structures described in these Terms.
We may investigate and take action - including suspension or termination under Section 13, and reporting to law enforcement or regulators - in response to suspected violations of this Section 8.
9. Intellectual Property
The Service, including its software, design, trademarks, logos, and content (excluding user-submitted content and open-source components governed by their own licenses), is owned by NHBCoin or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes. You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse-engineer or attempt to extract its source code, except as permitted by applicable law.
10. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that: the Service will be uninterrupted, timely, secure, or error-free; any defects will be corrected; the Service is free of viruses or harmful components; results obtained from use of the Service will be accurate or reliable; or the value, availability, or functionality of NHB, ZNHB, or any other feature will meet your expectations. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NHBCOIN, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the legal theory on which a claim is based (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless NHBCoin, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any transaction you initiate or authorize through the Service, including subscription authorizations, escrow trades, staking delegations, and business/merchant transactions; or (e) any content or information you submit through the Service.
13. Account Suspension and Termination
13.1 By You
You may stop using the Service at any time. Stopping use does not terminate any on-chain state (such as your wallet address, staked positions, or standing subscription authorizations), which continue to exist on nhbchain independent of your use of the Service.
13.2 By Us
We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe: you have violated these Terms; your use poses a security, legal, or reputational risk to NHBCoin or other users; we are required to do so by law, regulation, or a competent authority; or continued provision of the Service to you is no longer commercially reasonable for us.
13.3 Effect of Termination
Termination of your access to the Service does not, by itself, affect assets recorded on-chain and associated with your wallet address, but may affect your ability to access the Service's interface to view or transact with those assets. Sections of these Terms that by their nature should survive termination (including Sections 3, 7, 9-12, and 14) will survive.
14. Dispute Resolution; Governing Law; Arbitration
14.1 Governing Law
These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws principles.
14.2 Informal Resolution First
Before filing a claim against us, you agree to first contact us at the address in Section 16 and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
14.3 Binding Arbitration
If a dispute is not resolved informally, you and NHBCoin agree that it will be resolved by binding arbitration administered by [ARBITRATION ADMINISTRATOR/RULES, e.g., the American Arbitration Association under its Consumer Arbitration Rules], rather than in court, except as set out in Section 14.5. The arbitration will be conducted in Maryland, United States, in the English language, and judgment on the award may be entered in any court of competent jurisdiction.
14.4 Class Action and Jury Trial Waiver
To the maximum extent permitted by applicable law, you and NHBCoin each waive the right to a jury trial and the right to participate in a class action, collective action, or representative proceeding. Any arbitration or proceeding will be conducted only on an individual basis.
14.5 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small-claims court where permitted, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality obligations.
Drafting note: This dispute-resolution structure is a standard template only. The specific governing jurisdiction, arbitration administrator, arbitration rules, and any consumer-protection carve-outs required in your target markets must be finalized by qualified legal counsel before publication.
15. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means, and will indicate the date these Terms were last updated. Changes take effect when posted unless a later effective date is specified. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
